ObjectivesThis course enables students to acquire practical knowledge of corporate governance, in particular, the rules stated by law, case-law and self-regulation related to the rights and duties of the various bodies and their impact on liability.

ContentsThis course covers the Swiss law regulating the company limited by shares essentially by a practical approach. Current and future rules governing the organization, functioning and tasks of the corporate bodies as well as their application are mainly addressed. Furthermore, the issue of liability of directors is subject to a thorough and in-depth study, notably carried out in the light of the rights and obligations devolving upon the Board of Directors on the basis of law, case law and good practice.
